Terms & Conditions

Last Updated: March 2026

The full legal text on this page is provided in English.

Please read these Terms and Conditions carefully. ReloadCryptoCards is built around a strictly non-custodial model and business-to-business (B2B) relationships: we supply the card service system and related software to merchants (legal entities). We do not hold cardholders’ private keys on our systems, do not operate cloud custodial wallets for end-users in place of the card, and do not position ourselves as a retail custodial platform. Private keys for the on-card wallet exist on the physical card. We are authorised and licensed accordingly for the activities listed in Section 1; that authorisation exists alongside this operational focus on non-custodial, B2B delivery. By using our website, or—if you are a merchant—our B2B platform or services, you acknowledge these Terms. Separate written agreements govern commercial supply to merchants where applicable.

Material provisions (summary)

The matters below summarise material characteristics and limitations of the ReloadCryptoCards services and of your relationship with us. This summary is provided for convenience only and is not exhaustive; the operative provisions elsewhere in these Terms prevail in the event of any inconsistency.

  • Non-custodial architecture. We do not safekeep cardholders’ private keys on our servers and do not operate a substitute custodial “wallet in the cloud” for the same funds. Keys for the card wallet reside on the physical card. This architecture is intended to avoid custodial key control and the retail obligations typical of custodial exchanges.
  • Business-to-business supply. Our commercial agreements for the system are concluded with merchants (legal entities) only. We are not a bank or e-money issuer. Where a card is purchased in store, the end-user’s relationship is primarily with the merchant, not a direct retail account with us.
  • Regulatory registration (Slovakia). We are registered with the NBS for Poskytovanie služieb zmenárne virtuálnej meny and Poskytovanie služieb peňaženky virtuálnej meny (effective 17 May 2024)—further detail appears in Section 1. Our operating model remains non-custodial and B2B-led, as stated in these Terms.
  • Private keys on the card. Private keys for the on-card wallet are stored on the physical card. We do not replicate those keys in a custodial web account as a substitute for the card.
  • No omnibus custody. We do not pool your card’s crypto in an omnibus wallet under our control in place of the card; value follows the on-card design.
  • No recovery of funds by us. If you lose your card, we are unable to recover Bitcoin from the card wallet; loss may be permanent.
  • No bank-style replacement. We do not act as a bank or e-money issuer for card balances. Loss of the card may entail permanent loss of access to funds on that card, subject to any separate policy of the selling merchant.
  • No server-side keys. We do not retain a copy of your card’s private keys on our servers and cannot spend or recover Bitcoin on your card without the physical card and its security model.
  • Infrastructure risk. Terminals, networks, and software may fail or interrupt service. Our liability for failures of the system or terminals is limited as set out in these Terms (see Limitation of Liability).
  • Suspension of access. We may suspend or restrict merchant terminals, top-up or load functionality, or other Services where required by law or competent authority, or where we reasonably suspect unlawful activity or serious breach, as further described in these Terms (see the section on suspension and termination).
  • Retail channel. In-store sale and top-up are conducted through merchants. Your purchase is with the merchant. We supply technology and B2B services under our authorisation as applicable; we do not offer a retail custodial account relationship with cardholders.

1. Scope: B2B services and who these Terms address

B2B commercial relationship. ReloadCryptoCards’ business is the provision of a card service system (including software, integration, and related services as agreed) to merchants and other business customers. Any binding commercial agreement for that supply is business-to-business and is concluded only with the legal entity (merchant) that contracts with us, subject to our order forms, licenses, or other written agreements.

NBS authorisation (Slovakia). ReloadCryptoCards is entered in the register of the National Bank of Slovakia (NBS) as authorised to provide: Poskytovanie služieb zmenárne virtuálnej meny (virtual currency exchange services) and Poskytovanie služieb peňaženky virtuálnej meny (virtual currency wallet services). Our authorisation is effective from 17 May 2024 (as recorded with the NBS). The official list and exact scope are published by the NBS (see NBS — crypto-assets supervision and the NBS register of financial market subjects where applicable). Despite these authorised categories, our product and go-to-market are deliberately non-custodial (keys on the card, not on our infrastructure) and B2B (merchants as counterparties), to avoid operating as a retail custodial wallet or omnibus platform for end-users.

B2B, identification, and proportionate obligations. We contract with merchants and businesses, not with the general public as a retail custodial service. Applicable AML/CFT and identification rules still apply where the law requires (for example merchant onboarding, monitoring, or specific transaction situations). We apply obligations in a way that is proportionate to our non-custodial, B2B model: we do not seek to replicate the full retail custodial exchange onboarding and omnibus-wallet compliance stack, because we do not hold cardholders’ keys or host their wallets on our systems. Merchants remain responsible for their own legal duties toward their customers and points of sale where the law assigns those duties to them.

Card product and keys. For standard ReloadCryptoCards, private keys for the user’s on-card wallet are generated and kept on the physical card. We do not copy those keys to our servers for custody, and we do not offer a parallel custodial web wallet for the same keys. Regulated activities are carried out within our NBS authorisation and in line with this architecture.

End users (card holders). If you purchase or use a card as a consumer, your purchase at a merchant is primarily between you and the merchant. These Terms describe our B2B, non-custodial role and liability limits; they are not a substitute for the merchant’s terms or applicable law at the point of sale.

EU and Slovak regulatory context (MiCA / NBS). Regulation (EU) 2023/1114 (MiCA) and Act No. 248/2024 Coll. frame crypto-asset services in the EU and Slovakia. ReloadCryptoCards holds NBS authorisation as stated above while structurally prioritising non-custodial, B2B delivery. Merchants remain responsible for their own licensing and compliance where they act in their own name toward consumers.

2. Acceptance of Terms

By accessing this website or, where applicable, by using ReloadCryptoCards’ B2B platform, APIs, terminals, or other services offered to your business, you acknowledge that you have read, understood, and agree to be bound by these Terms and by applicable laws. Electronic access and use constitute a binding agreement to the extent permitted by law. If you accept on behalf of a legal entity, you represent and warrant that you have authority to bind that entity. If you do not agree, you must not use our Services.

3. Product description — non-custodial cards, B2B delivery

ReloadCryptoCards technology uses physical cards where wallet keys stay on the card. We do not host end-users’ wallets or keys on our cloud infrastructure as the primary place of custody for those funds. Supported assets are associated with keys on the card under the product security model. Any NBS-authorised activities are performed consistently with this non-custodial design and your B2B agreements.

Once a card is activated at a participating merchant, reloads may be available as offered by that merchant. ReloadCryptoCards supplies B2B systems to merchants; we do not market a retail custodial wallet product to the public.

4. Purchase, activation, and use

Merchant resellers: Retail sale of cards and top-up at the counter is performed by independent merchants. ReloadCryptoCards is not the seller of record for those retail transactions unless expressly stated in a separate agreement. Your contractual relationship for buying or topping up a card in store is with the merchant, subject to their policies and applicable law.

  • Cards may be purchased or topped up with cash at participating merchant locations as the merchant allows
  • Activation and reload rules follow merchant and product configuration
  • You are responsible for the security and safekeeping of your card
  • Material risk: Lost, stolen, or damaged cards may result in permanent loss of funds on the card; ReloadCryptoCards cannot recover funds from non-custodial card wallets

Reloads are implemented so that value is applied in line with the on-card wallet design and applicable NBS-authorised processes. Details may vary by integration; see merchant and product materials.

5. Security and responsibility — no recovery by us

Material limitations. You acknowledge and agree that:

  • We cannot recover funds from the card wallet: We do not hold keys and cannot restore lost card balances.
  • We cannot access your wallet: ReloadCryptoCards does not hold private keys for your card wallet.
  • You are responsible for physical security of the card; ReloadCryptoCards is not liable for loss, theft, damage, or unauthorised use of the card except where mandatory law provides otherwise
  • You should treat the card like cash where keys cannot be recovered

6. Bitcoin and network transactions

Digital asset transactions may be irreversible. You are responsible for verifying amounts, addresses, fees, and volatility. ReloadCryptoCards does not guarantee confirmation times or network behavior.

7. Limitation of liability (including system and terminal failures)

To the fullest extent permitted by applicable law, ReloadCryptoCards and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, whether or not advised of the possibility of such damages.

System, software, and terminal failures. The card service system, merchant portal, APIs, backends, payment terminals, connectivity, and third-party networks may experience errors, downtime, delays, misconfiguration, or incompatibility. ReloadCryptoCards shall not be liable for any loss or damage arising from or related to:

  • Failure, interruption, or unavailability of any terminal, POS integration, software, or our systems
  • Failed, delayed, duplicated, or erroneous transactions attributable to hardware, software, networks, or operator error
  • Loss or corruption of data, incorrect reporting, or settlement timing issues, except as expressly required by mandatory law
  • Bitcoin or other network congestion, forks, fees, or third-party infrastructure
  • Loss or theft of cards; unauthorised use of cards
  • Digital asset price fluctuations

Where liability cannot be excluded, ReloadCryptoCards’ total aggregate liability arising out of or relating to these Terms or the services (including website and B2B offerings) shall, to the maximum extent permitted by law, not exceed the greater of (a) the fees actually paid by the contracting merchant to ReloadCryptoCards for the specific service giving rise to the claim in the three (3) months preceding the claim, or (b) one hundred (100) EUR, unless a separate signed B2B agreement sets a different cap for that engagement. Claims by website visitors who are not party to a merchant agreement are subject to the same aggregate cap with the fee-based limb (a) deemed zero unless otherwise applicable. This limitation does not apply where prohibited by law (for example, liability for intent or gross negligence may remain governed by mandatory rules).

Disclaimer of reliance: Nothing on this website constitutes financial, legal, or tax advice. Merchants are responsible for their own compliance and for their relationship with end customers.

8. No warranty

All services, software, terminals, and documentation are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant uninterrupted or error-free operation of any system or terminal.

9. Acceptable use and prohibited conduct

You shall use ReloadCryptoCards technology and services only for lawful purposes and in accordance with these Terms and applicable law. Without limiting the generality of the foregoing, you shall not use, and shall procure that your personnel and end users (where applicable) do not use, the Services to engage in or facilitate:

  • money laundering, terrorist financing, or other conduct that violates anti–money laundering or counter-terrorist financing (AML/CFT) laws;
  • fraud, market abuse, deception of regulators, or circumvention of sanctions or export controls;
  • violation of intellectual property rights, data protection law, or third-party rights;
  • transmission of malware, unauthorised access to systems, or attacks on the integrity, security, or availability of the Services;
  • any activity that ReloadCryptoCards reasonably determines poses undue legal, regulatory, reputational, or operational risk.

Merchants remain solely responsible for conduct at their premises, for staff and terminal use, and for compliance with laws applicable to their retail activities. Nothing in these Terms transfers regulatory liability from the merchant to ReloadCryptoCards except as expressly required by mandatory law.

10. Suspension, restriction, and termination of services

Right to act. ReloadCryptoCards may, in its discretion and without prior notice where reasonably necessary (including to comply with law or protect the integrity of the Services), suspend, restrict, block, or terminate access to any part of the Services. This includes, without limitation: merchant portal or API access; credentials; software integrations; cash-register terminals and top-up or load functionality; and any other feature required to operate the ReloadCryptoCards programme at a merchant location.

Grounds. Such action may be taken, among other reasons, where ReloadCryptoCards (i) is instructed or required to do so by a competent court, regulator, or law enforcement authority; (ii) has reasonable grounds to suspect unlawful activity, fraud, money laundering, terrorist financing, sanctions breaches, or serious breach of these Terms; (iii) identifies a security incident, compromise, or misuse of terminals or accounts; or (iv) must protect users, the public, or the continuity of authorised services.

Effect. During any suspension or restriction, top-up, load, or other functionality may be unavailable. ReloadCryptoCards shall not be liable to you for any loss, cost, or damage arising from a suspension or restriction undertaken in good faith, except where mandatory law provides otherwise. Where practicable and not prohibited by law or an investigation, we may communicate with the contracting merchant regarding the status of the matter; however, we may be unable to disclose specifics where confidentiality, secrecy laws, or regulatory instructions apply.

Cooperation. Merchants shall co-operate promptly with reasonable requests for information and assistance relating to investigations, regulatory enquiries, or security reviews. Failure to co-operate may result in continued suspension or termination of Services.

Termination. ReloadCryptoCards may terminate access to the Services permanently for material or repeated breach of these Terms or where continued provision would be unlawful or inconsistent with regulatory obligations. Provisions that by their nature should survive (including limitations of liability, indemnities where stated, intellectual property, and governing law) shall survive termination.

11. Regulatory co-operation, reporting, and sanctions

ReloadCryptoCards operates subject to applicable financial crime, crypto-asset, and related laws. We may perform customer due diligence, monitoring, and reporting as required by law. We may file reports with financial intelligence units or other authorities where mandated, without prior notice to you where the law so requires.

You represent that you are not subject to sanctions that would prohibit ReloadCryptoCards from dealing with you, and that you will not use the Services to benefit sanctioned persons or jurisdictions where such dealing is prohibited. ReloadCryptoCards may refuse or discontinue Services where required by sanctions or export-control laws.

12. Intellectual property

All content, trademarks, trade names, logos, software, documentation, and other intellectual property rights in or relating to ReloadCryptoCards are owned by ReloadCryptoCards or its licensors. Except for the limited right to use the Services in accordance with these Terms and any separate written agreement, no licence is granted. You shall not copy, modify, reverse engineer (except as permitted by mandatory law), distribute, or create derivative works from such materials without prior written consent.

13. Changes to these Terms

ReloadCryptoCards may amend these Terms from time to time. The current version will be posted on this website with an updated “Last updated” date. Where changes are material and we are legally required to provide notice, we will comply with such requirements. Continued use of the website or Services after posting constitutes acceptance of the revised Terms to the extent permitted by applicable law. If you do not agree to amended Terms, you must cease use of the Services (subject to any mandatory rights you may have as a consumer under national law).

14. Force majeure

ReloadCryptoCards shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of government, war, terrorism, riots, fires, floods, epidemics, strikes, failure of public or private telecommunications or power, or third-party service failures. Performance shall be excused for the duration of such event.

15. General provisions

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Assignment. You may not assign or transfer your rights or obligations under these Terms without ReloadCryptoCards’ prior written consent. ReloadCryptoCards may assign its rights and obligations in connection with a reorganisation, merger, or sale of assets, provided that your rights are not diminished except as permitted by these Terms.

No waiver. Failure to enforce any provision shall not constitute a waiver of future enforcement.

Entire agreement (website Terms). These Terms, together with any separate written B2B agreement you have signed with ReloadCryptoCards, constitute the entire agreement regarding the subject matter described herein to the exclusion of prior oral understandings. If a separate agreement conflicts with these Terms on a specific commercial point, the separate agreement shall prevail as between the parties to that agreement, solely to the extent of the conflict.

Third-party rights. Unless expressly stated, nothing in these Terms confers rights on any third party (including cardholders who are not direct contracting parties to ReloadCryptoCards).

16. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Slovak Republic, without regard to conflict-of-law rules that would require application of another jurisdiction’s laws, except where mandatory consumer protection rules of your country of residence apply to you and cannot be waived.

Subject to mandatory provisions of law, the courts of the Slovak Republic shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the website. Nothing in this clause limits ReloadCryptoCards’ right to seek interim or protective relief in any competent jurisdiction.
